1. Scope and Acceptance
These Terms of Service (“Terms”) govern access to and use of Superior Striping CRM (the “CRM”), operated by Superior Striping, LLC (“Superior Striping,” “we,” “us,” or “our”).
By accessing or using the CRM, you acknowledge that you have reviewed and agree to comply with:
- These Terms;
- The Superior Striping CRM Privacy Policy;
- Applicable Superior Striping policies and instructions;
- Any applicable employment, contractor, confidentiality, or service agreement; and
- Applicable law.
If you do not agree to these Terms, you must not access or use the CRM.
2. Private and Restricted Business System
The CRM is a private business system intended only for individuals expressly authorized by Superior Striping, including approved:
- Employees;
- Independent contractors;
- Owners and managers;
- Administrators;
- Supervisors;
- Business service providers; and
- Other personnel with a legitimate Superior Striping business need.
Authorized service providers may include members of the Global Bridge360 team when they are performing approved services for Superior Striping.
The CRM is not offered to the general public and does not permit public self-registration.
Superior Striping retains the right to approve, deny, limit, suspend, or terminate CRM access, subject to applicable law and contractual obligations.
3. Google Sign-In
The CRM may allow you to authenticate using your Google Account.
When using Google Sign-In:
- You must use a Google Account that belongs to you or that you are authorized to use;
- You must not allow another person to use your CRM session or account;
- You must protect your Google Account and device from unauthorized access;
- You must promptly report suspected unauthorized use;
- You remain subject to Google’s applicable terms and privacy policies; and
- You understand that Google is a third-party authentication provider.
Superior Striping does not receive your Google password.
When the CRM requests only openid, email, and profile, the CRM does not use Google Sign-In to access Gmail messages, Google Drive files, Google Calendar events, Google Contacts, or other unrelated Google Account content.
If the CRM later offers a feature that requests additional Google permissions, you will be shown the requested permissions and may be asked to provide separate authorization.
4. Authentication and Authorization Are Different
Successful authentication through Google verifies the identity of the Google Account. It does not automatically authorize access to the CRM.
Each CRM user must also be invited or approved by an authorized Superior Striping administrator and assigned an active role.
You may access only the information and functionality made available to your assigned role. You must not attempt to access another user’s account, administrative controls, customer information, project records, or CRM areas for which you have not been authorized.
5. Account Security and User Responsibilities
You are responsible for activity performed through your CRM account or authenticated session, except to the extent caused by circumstances outside your reasonable control.
You agree to:
- Provide accurate information;
- Keep your account and profile information reasonably current;
- Use secure devices and browsers;
- Protect your Google Account, passwords, authentication factors, and sessions;
- Sign out when using a shared or unattended device;
- Follow Superior Striping security and acceptable-use policies;
- Use CRM information only for authorized business purposes;
- Protect confidential company and customer information;
- Follow reasonable instructions from CRM administrators; and
- Immediately report suspected unauthorized access, lost devices, phishing, malware, or accidental disclosure.
6. Acceptable Use
You may use the CRM only for legitimate Superior Striping business and authorized work-related purposes.
Authorized uses may include:
- Managing leads and prospective customers;
- Preparing or tracking estimates;
- Scheduling and managing projects;
- Recording customer communications and follow-ups;
- Maintaining project notes, photographs, files, and status updates;
- Coordinating approved marketing or customer-service activity;
- Supporting workforce and operational administration;
- Producing authorized business reports; and
- Performing approved CRM administration, maintenance, or technical support.
You must use reasonable care when entering, editing, exporting, sharing, or deleting information.
7. Prohibited Conduct
You must not:
- Share your CRM account, authenticated session, or credentials;
- Impersonate another person or misrepresent your authority;
- Attempt to bypass authentication, authorization, or security controls;
- Access information outside your assigned permissions;
- Use another person’s account without authorization;
- Copy, export, disclose, sell, or distribute confidential information without authorization;
- Use CRM information for personal commercial purposes or to compete with Superior Striping;
- Upload malware, malicious code, ransomware, or harmful files;
- Interfere with the CRM’s operation, availability, or security;
- Conduct unauthorized penetration testing, scanning, scraping, automated extraction, or reverse engineering;
- Introduce inaccurate, fraudulent, misleading, defamatory, discriminatory, or unlawful content;
- Harass, threaten, discriminate against, or harm another person;
- Alter, conceal, destroy, or falsify business records without authorization;
- Upload unnecessary Social Security numbers, full payment-card information, financial-account credentials, medical records, passwords, or other highly sensitive information;
- Use the CRM for personal communications unrelated to Superior Striping business;
- Use information in a manner inconsistent with customer expectations, contracts, or Superior Striping instructions; or
- Violate applicable law, company policy, customer obligations, or contractual duties.
8. Customer, Lead, and Project Information
The CRM may contain confidential information relating to Superior Striping customers, prospective customers, properties, estimates, and projects.
You may access and use this information only to perform authorized Superior Striping work.
You must:
- Collect and enter only information reasonably necessary for an approved business purpose;
- Use reasonable care to maintain accurate records;
- Avoid entering irrelevant or excessively sensitive personal information;
- Follow approved procedures before exporting or sending customer information;
- Respect customer communication preferences and applicable opt-out requests;
- Protect photographs, addresses, estimates, pricing, and project documents; and
- Report any suspected unauthorized disclosure.
9. Confidentiality
The CRM may contain confidential or proprietary information belonging to Superior Striping, its customers, service providers, or business partners.
Confidential information may include:
- Customer and prospective customer information;
- Property and project details;
- Pricing, estimates, proposals, and invoices;
- Work schedules and assignments;
- Internal procedures and workflows;
- Employee and contractor information;
- Photographs, videos, and reports;
- Technical and security information;
- Business strategies and marketing information;
- Credentials and access information; and
- Other non-public business records.
You must protect confidential information and use it only for authorized Superior Striping purposes.
Your confidentiality obligations may continue after your CRM access, employment, assignment, contract, or service relationship ends.
10. CRM Records and Data Ownership
Information created, entered, uploaded, transmitted, or maintained through the CRM in connection with Superior Striping business may constitute a Superior Striping business record.
As between Superior Striping and an authorized user, Superior Striping owns or controls the CRM business records, subject to the rights of customers, individuals, licensors, service providers, and others under applicable law and contract.
Users do not acquire ownership of customer lists, leads, estimates, project records, workflows, reports, or other company information merely because they created or entered the information.
Superior Striping may retain, review, export, correct, preserve, or delete CRM records for legitimate purposes, including:
- Project management;
- Customer service;
- Scheduling and operations;
- Workforce administration;
- Safety and quality control;
- Marketing and follow-up;
- Accounting and insurance;
- Compliance and auditing;
- Security investigations; and
- Legal recordkeeping.
11. User-Submitted Content
You represent that you have the authority to enter, upload, or share content through the CRM and that doing so does not violate applicable law, a contract, intellectual-property rights, privacy rights, or Superior Striping policy.
You grant Superior Striping and its approved service providers the right to host, copy, process, transmit, display, and otherwise use submitted content as reasonably necessary to operate the CRM and conduct Superior Striping business.
This permission continues for retained business records even after your account is deactivated, subject to applicable law and the Privacy Policy.
12. Monitoring, Logging, and Audit
The CRM is a company business system.
To the extent permitted by applicable law and consistent with the Privacy Policy, Superior Striping may log, monitor, review, audit, preserve, or disclose CRM activity for legitimate purposes, including:
- Security;
- Access management;
- Operations;
- Troubleshooting;
- Workforce and contractor administration;
- Quality assurance;
- Compliance;
- Investigation of suspected misuse;
- Protection of company or customer information; and
- Legal obligations.
Users should not expect personal communications entered into the CRM to remain private from authorized Superior Striping administrators.
This monitoring is limited to the CRM, company-controlled systems, and information transmitted to or through those systems. It does not mean Superior Striping has access to unrelated personal Google Account content.
13. Privacy
Superior Striping’s collection, use, disclosure, retention, and protection of information through the CRM are described in the Superior Striping CRM Privacy Policy.
By using the CRM, you acknowledge that information may be processed as described in that Policy.
14. Third-Party Services
The CRM may rely on third-party services, including Google Sign-In, cloud hosting, databases, file storage, security services, communications systems, analytics, or error monitoring.
Your use of a third-party service may also be subject to that provider’s own terms and privacy policies.
Superior Striping is not responsible for an interruption, change, suspension, security event, or failure caused solely by a third-party service outside Superior Striping’s reasonable control.
15. Security Incidents
You must immediately notify Superior Striping if you become aware of:
- Unauthorized CRM access;
- A lost or stolen device with CRM access;
- Suspected account or credential compromise;
- Accidental disclosure of company or customer information;
- Suspicious login notifications;
- Malware affecting a device used for the CRM;
- Improper exports or downloads; or
- Any other actual or suspected security incident.
You must reasonably cooperate with Superior Striping’s investigation and remediation of a security incident.
16. Suspension and Termination of Access
Superior Striping may suspend, restrict, or terminate CRM access when:
- Your authorization ends;
- Your employment, assignment, contract, or service relationship ends;
- Your role or responsibilities change;
- Access is no longer required;
- A security concern exists;
- Misuse or policy violation is suspected;
- These Terms, a company policy, or a contract is violated;
- A customer, legal, insurance, or security obligation requires restriction; or
- Suspension is otherwise reasonably necessary to protect Superior Striping or others.
Upon termination of access, you must stop using the CRM and must not retain CRM information except when expressly authorized.
Termination does not eliminate confidentiality, recordkeeping, security, intellectual-property, or other obligations that by their nature continue after termination.
17. Intellectual Property
The CRM, including its software, design, text, graphics, branding, documentation, workflows, reports, and company content, is owned by or licensed to Superior Striping and is protected by applicable intellectual-property laws.
Superior Striping grants an authorized user a limited, revocable, non-exclusive, non-transferable right to use the CRM solely for approved Superior Striping business purposes during the period of authorization.
No ownership rights are transferred to users.
Except as expressly authorized, you may not copy, modify, distribute, sublicense, sell, publish, reverse engineer, or create derivative works from the CRM or its proprietary content.
18. CRM Availability and Changes
Superior Striping may update, modify, suspend, replace, or discontinue all or part of the CRM.
We may conduct maintenance, apply security updates, change workflows, add or remove functionality, or restrict access when reasonably necessary.
Although we seek to maintain a reliable CRM, uninterrupted, secure, or error-free availability is not guaranteed.
The CRM must not be used as the sole method for communicating an emergency or immediate threat to health or safety.
19. Disclaimer of Warranties
The CRM is provided as an internal business tool on an “as is” and “as available” basis.
To the fullest extent permitted by law, Superior Striping disclaims warranties that are not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Nothing in these Terms excludes warranties, protections, or rights that cannot legally be excluded.
20. Limitation of Liability
To the fullest extent permitted by applicable law, Superior Striping will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages arising solely from the use of or inability to use the CRM.
This section does not limit liability that cannot lawfully be limited and does not waive any non-waivable employee, wage, safety, discrimination, whistleblower, workers’ compensation, privacy, or other statutory rights.
21. Employment and Contractor Relationships
These Terms govern use of the CRM only.
They do not:
- Create an employment relationship;
- Create an independent-contractor relationship;
- Guarantee continued employment, assignments, or work;
- Change compensation or benefits;
- Replace an employment, contractor, confidentiality, or service agreement;
- Alter any applicable at-will employment relationship; or
- Waive rights that cannot legally be waived.
If these Terms conflict with a written agreement or mandatory law, the applicable agreement or law will control to the extent of the conflict.
22. Governing Law
These Terms are governed by the laws of the State of Idaho and applicable federal law, without regard to conflict-of-law principles.
Any dispute regarding the CRM will be handled in a court with lawful jurisdiction, unless another written agreement requires a different lawful process.
Nothing in this section prevents the application of mandatory laws or rights based on an individual’s location or legal status.
23. General Provisions
23.1 Severability
If any provision of these Terms is determined to be unlawful or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
23.2 No Waiver
A failure to enforce a provision of these Terms does not waive the right to enforce that or another provision later.
23.3 Assignment
You may not assign or transfer your CRM access or rights under these Terms. Superior Striping may assign these Terms as part of a lawful merger, acquisition, restructuring, sale of assets, or similar business transaction.
23.4 Entire Agreement
These Terms, the Privacy Policy, applicable company policies, and any relevant written agreement constitute the applicable terms governing your use of the CRM.
24. Changes to These Terms
Superior Striping may update these Terms to reflect changes in CRM functionality, security practices, company policies, service providers, or legal requirements.
The updated Terms will display a revised “Last Updated” date.
When appropriate or required, Superior Striping may provide notice through the CRM or request acknowledgement of material changes.
Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by applicable law.
